Terms of Service

1. Introduction

Welcome to Shutterclix. These Terms of Service ("Terms") govern your access to and use of the Shutterclix marketplace platform, where users can buy and sell photography equipment.

By accessing or using Shutterclix, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

To use Shutterclix, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

3. Account Types

3.1 Individual Accounts

Individual accounts are for private sellers selling personal equipment. Individual sellers:

• Must complete phone verification before selling
• Pay 0% seller commission
• Buyers pay a 5% platform fee on purchases
• Are subject to selling limits until verified

3.2 Business Accounts

Business accounts are for VAT-registered professional sellers. Business sellers:

• Must have a valid EU VAT number
• Must complete VAT validation via EU VIES system
• Pay a 5% seller commission (or custom rate if agreed)
• Buyers pay 0% platform fee
• Can sell immediately after VAT approval
• Receive "Verified Business" badge

4. User Responsibilities

4.1 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activities under your account

4.2 Prohibited Activities

You may not:

• List stolen, counterfeit, or illegal items
• Engage in fraudulent activities or misrepresentation
• Manipulate prices or engage in price fixing
• Harass, threaten, or abuse other users
• Attempt to circumvent platform fees
• Use automated tools to scrape or access the Platform
• Violate any applicable laws or regulations
• Interfere with the Platform's operation or security

5. Listing Rules

5.1 Product Descriptions

Sellers must:

• Provide accurate and complete descriptions
• Use clear, unedited photos of the actual item
• Disclose all defects, damage, or issues
• Accurately represent the condition (excellent, good, fair, poor)
• Include serial numbers when applicable

5.2 Prohibited Items

You may not list:

• Stolen property
• Counterfeit or replica items
• Items with removed or altered serial numbers
• Illegal or restricted items under Swedish/EU law

6. Fees and Payments

6.1 Fee Structure

Individual Sellers:

• Seller Commission: 0%
• Buyer Platform Fee: 5% (minimum €0.50 or local equivalent)
• Payment Processing: ~2.9% + fixed fee (via Stripe)

Business Sellers:

• Seller Commission: 5% (or custom rate if agreed)
• Buyer Platform Fee: 0%
• Payment Processing: ~2.9% + fixed fee (via Stripe)

Example: For a €1,000 item sold by an individual seller, the buyer pays €1,050 (item + 5% fee). After Stripe fees (~€30), the seller receives approximately €971.

Example: For a €1,000 item sold by a business seller, the buyer pays €1,000. After 5% commission (€50) and Stripe fees (~€29), the seller receives approximately €921.

6.2 Payment Processing

• All payments are processed through Stripe
• We do not store your payment card information
• Payments are held in escrow until delivery is confirmed
• Sellers must connect a bank account via Stripe Connect to receive payouts

6.3 Payout Schedule

• Funds are released when buyer confirms delivery
• Auto-release after 7 days if buyer does not confirm
• Payouts are processed to your connected bank account
• Bank transfer timing depends on your bank (typically 1-3 business days)

7. Transaction Process

7.1 Making an Offer

• Buyers can make offers on listed items
• Offers expire after 48 hours unless accepted
• Sellers can accept, reject, or counter-offer

7.2 Payment and Escrow

• Payment is captured when seller accepts an offer
• Funds are held in escrow (not released to seller immediately)
• Escrow protects both buyer and seller

7.3 Shipping

• Seller must ship within 3 business days of payment
• Seller must provide tracking information
• Seller is responsible for proper packaging
• Risk of loss transfers to buyer upon delivery

7.4 Delivery Confirmation

• Buyer should confirm delivery upon receipt
• Buyer has 7 days to report issues
• Funds automatically release after 7 days if no issues reported

8. Disputes and Refunds

8.1 Filing a Dispute

Buyers may file a dispute if:

• Item not received within reasonable timeframe
• Item significantly not as described
• Item is defective or damaged (not disclosed)

8.2 Dispute Resolution

• Disputes are reviewed by Shutterclix support
• Both parties will be asked to provide evidence
• We reserve the right to request item return
• Decisions are final and binding

8.3 Refund Policy

• Refunds may be full, partial, or denied based on evidence
• Platform fees may be refunded at our discretion
• Payment processing fees are non-refundable
• Refunds are processed within 5-10 business days

9. Seller Obligations

• Maintain accurate inventory and pricing
• Respond to buyer inquiries within 24 hours
• Ship items promptly and securely
• Provide tracking information
• Honor accepted offers
• Report any issues immediately
• Comply with all applicable tax laws
• For business accounts: Maintain valid VAT registration

10. Buyer Obligations

• Pay for accepted offers promptly
• Provide accurate shipping information
• Inspect items upon receipt
• Confirm delivery or report issues within 7 days
• Treat items with reasonable care
• Not abuse dispute process

11. Intellectual Property

11.1 Platform Content

Shutterclix and its content (excluding user-generated content) are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

11.2 User Content

By posting content (listings, photos, messages), you grant Shutterclix a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform.

You represent that you own or have rights to all content you post and that it does not violate any third-party rights.

12. Platform Rights

Shutterclix reserves the right to:

• Remove or modify any listing or content
• Suspend or terminate accounts for violations
• Refuse service to anyone for any reason
• Modify fees with 30 days notice
• Update these Terms with reasonable notice
• Investigate and resolve disputes
• Cooperate with law enforcement

13. Liability Limitations

13.1 Platform Role

Shutterclix is a marketplace platform that connects buyers and sellers. We are not a party to transactions between users. We do not own, sell, or control items listed on the Platform.

13.2 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Accuracy of listings or user information
• Quality, safety, or legality of items
• Ability of sellers to complete transactions
• Ability of buyers to pay
• Uninterrupted or error-free operation

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHUTTERCLIX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• User disputes or transaction failures
• Defective, damaged, or misrepresented items
• Unauthorized access to accounts

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Shutterclix, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your listings, content, or transactions

15. Governing Law and Disputes

These Terms are governed by the laws of Sweden. Any disputes shall be resolved in the courts of Stockholm, Sweden.

For consumer contracts, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending you an email notification (for significant changes)
• Displaying a notice on the Platform

Continued use of the Platform after changes constitutes acceptance of the new Terms.

17. Account Termination

17.1 Termination by You

You may close your account at any time from your account settings. You must:

• Complete or cancel all active transactions
• Resolve all outstanding disputes
• Withdraw any remaining balance

17.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Receive excessive complaints
• Fail to resolve disputes
• Provide false information

17.3 Effect of Termination

Upon termination:

• Your listings will be removed
• You lose access to the Platform
• Pending transactions must be completed
• These Terms remain in effect for past actions

18. General Provisions

18.1 Entire Agreement

These Terms constitute the entire agreement between you and Shutterclix regarding use of the Platform, superseding any prior agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

18.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time.
